Welcome to Kordex. These Terms of Service (“Terms”) govern your access to and use of Kordex's cloud-based ERP software, website, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

  • “Kordex”, “we”, “our”, or “us” refers to Kordex Technologies and its affiliates.
  • “User”, “you”, or “your” refers to the individual or entity accessing or using the Service.
  • “Account” refers to your registered account on the Service.
  • “Content” refers to any data, text, files, documents, or other materials uploaded to or generated by the Service.
  • “Subscription” refers to your paid plan for accessing premium features of the Service.

2. Account Registration

2.1 Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into these Terms
  • Not be prohibited from using the Service under applicable laws

2.2 Account Creation

When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

2.3 Account Security

You are responsible for maintaining the security of your account credentials. We recommend:

  • Using strong, unique passwords
  • Enabling two-factor authentication where available
  • Not sharing account credentials with unauthorized users
  • Logging out from shared or public devices

3. Service Description

3.1 Features

Kordex provides cloud-based ERP software that includes:

  • Inventory management and stock tracking
  • GST and VAT compliant invoicing
  • Purchase order and vendor management
  • Accounting and financial reporting
  • Customer relationship management
  • Multi-user access with role-based permissions

3.2 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice where possible)
  • Emergency maintenance or security updates
  • Factors beyond our reasonable control

3.3 Modifications

We reserve the right to modify, update, or discontinue features of the Service. Material changes will be communicated through:

  • Email notifications to registered users
  • In-app announcements
  • Updates to our website

4. Subscription and Payments

4.1 Free Trial

We offer a free trial period for new users. During the trial:

  • You have access to premium features at no cost
  • No payment information is required to start
  • The trial automatically ends after the specified period

4.2 Paid Subscriptions

Paid subscriptions are subject to the following terms:

  • Billing Cycle: Subscriptions are billed monthly or annually as selected
  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Price Changes: We may change prices with 30 days' notice
  • Payment Methods: We accept major credit cards and other payment methods as listed

4.3 Refund Policy

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Pro-rata refund if cancelled within 30 days
  • Refund requests must be submitted to billing@kordex.app

4.4 Taxes

All fees are exclusive of applicable taxes (GST, VAT, etc.). You are responsible for paying any taxes associated with your use of the Service.

5. User Responsibilities

5.1 Acceptable Use

You agree to use the Service only for lawful purposes. You shall NOT:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service's operation
  • Use the Service for fraudulent activities
  • Resell or redistribute the Service without authorization
  • Use automated systems to access the Service (scraping, bots)

5.2 Content Responsibility

You are solely responsible for:

  • All Content you upload, store, or transmit through the Service
  • Ensuring your Content complies with applicable laws
  • Maintaining backups of your important data
  • Accuracy of invoices, reports, and documents generated

5.3 Tax Compliance

While Kordex provides tools for GST/VAT compliance, you are responsible for:

  • Accurate entry of tax-related information
  • Verification of generated tax reports
  • Timely filing of tax returns with relevant authorities
  • Consulting with qualified tax professionals as needed

6. Intellectual Property

6.1 Our Rights

Kordex retains all rights to:

  • The Service, including software, design, and functionality
  • Trademarks, logos, and brand elements
  • Documentation and training materials
  • Any improvements or modifications to the Service

6.2 Your Rights

You retain ownership of:

  • All Content you create or upload to the Service
  • Your business data and records
  • Your company's trademarks and branding elements

6.3 License Grant

By using the Service, you grant us a limited license to:

  • Process and store your Content to provide the Service
  • Create backups for data protection
  • Use anonymized, aggregated data for analytics and improvements

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services

The Service may integrate with third-party services. We are not responsible for:

  • The availability or performance of third-party services
  • Content or practices of third-party websites
  • Any loss resulting from third-party service failures

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF CONTENT

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Kordex shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for loss of data, profits, or business opportunities
  • We are not liable for errors in tax calculations or compliance issues

11. Indemnification

You agree to indemnify, defend, and hold harmless Kordex and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your Content or business activities
  • Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time by:

  • Using the account deletion feature in Settings
  • Contacting our support team

12.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay applicable fees
  • We are required to do so by law
  • We discontinue the Service (with reasonable notice)

12.3 Effect of Termination

Upon termination:

  • Your right to access the Service ends immediately
  • You may export your data within 30 days (upon request)
  • We may delete your data after the retention period
  • Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of India. For users in UAE, UAE federal laws shall apply where applicable.

13.2 Dispute Process

Before initiating legal proceedings, you agree to:

  • Contact us at legal@kordex.app to attempt resolution
  • Allow 30 days for informal resolution
  • Participate in good-faith negotiations

13.3 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts in [City, India], except where prohibited by law.

14. Changes to Terms

We may update these Terms from time to time. Changes will be effective upon posting, with material changes notified via:

  • Email to registered users
  • In-app notification
  • Website announcement

Your continued use after changes constitutes acceptance of the updated Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kordex regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

15.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights to an affiliate or successor.
